Terms & Conditions of the Online Store

These Terms & Conditions set out the general terms, conditions and rules for sales conducted through the online store www.spoxsox.pl (hereinafter referred to as the "Online Store") and define the rules and conditions for the provision of free electronic services.

§ 1 Definitions

  1. Delivery – means the actual act of delivering the Goods specified in the order to the Customer by the Seller through a Delivery Provider.
  2. Delivery Provider – means an entity cooperating with the Seller in the delivery of Goods: a) Postal or courier operators – InPost, InPost Parcel Lockers, DPD, DHL and UPS b) Poczta Polska (international shipments)
  3. Password – means a sequence of letters, numbers or other characters selected by the Customer during Registration and used to secure access to the Customer Account in the Online Store.
  4. Customer – means an entity to whom, in accordance with these Terms & Conditions and applicable law, electronic services may be provided or with whom a Sales Agreement may be concluded.
  5. Consumer – means a natural person entering into a legal transaction with an entrepreneur that is not directly related to their business or professional activity.
  6. Customer Account – means an individual panel created for a Customer by the Seller after Registration and conclusion of an agreement for the provision of the Customer Account service.
  7. Entrepreneur – means a natural person, legal person or organizational unit without legal personality conducting business or professional activity in its own name and performing a legal transaction directly related to such activity.
  8. Terms & Conditions – means these Terms & Conditions.
  9. Registration – means the actual action performed in accordance with these Terms & Conditions, required to use all functionalities of the Online Store.
  10. Seller – means Spox Sox Sp. z o.o., with its registered office in Bielsko-Biała (43-300), ul. Piłsudskiego 7, Poland, NIP: 9372708409, REGON: 369734414, KRS: 0000723812, also the owner of the Online Store.
  11. Online Store Website – means the website through which the Seller operates the Online Store.
  12. Goods – means a product presented by the Seller through the Online Store Website which may be the subject of a Sales Agreement.
  13. VAT Invoice – means a VAT invoice issued in a structured form and transmitted through the National e-Invoice System (KSeF), in accordance with applicable law.

 

§ 2 Registration

  1. In order to create a Customer Account, the Customer must complete the free Registration process.
  2. Registration is not required to place an order in the Online Store.
  3. To register, the Customer must complete the registration form provided by the Seller on the Online Store Website and submit it electronically to the Seller using the appropriate function available in the registration form. During Registration, the Customer creates an individual Password.
  4. While completing the registration form, the Customer has the opportunity to read these Terms & Conditions and accept them by selecting the appropriate checkbox in the form.

§ 3 Orders

  1. The information presented on the Online Store Website does not constitute an offer by the Seller within the meaning of the Polish Civil Code, but merely an invitation for Customers to submit offers to conclude a Sales Agreement.
  2. The colors of the products may differ slightly from those shown on the website and depend on individual monitor settings, including color saturation and other display settings.
  3. The Customer may place orders in the Online Store via the Online Store Website or by e-mail, 7 days a week, 24 hours a day.
  4. The Customer placing an order through the Online Store Website completes the order by selecting the Goods and adding them to the shopping cart. After completing the order and selecting the Delivery method and payment method, the Customer submits the order by sending the order form to the Seller and selecting the appropriate order button on the Online Store Website. Before submitting the order, the Customer is informed of the total price of the selected Goods and Delivery, as well as all additional costs related to the Sales Agreement.
  5. Placing an order constitutes an offer submitted by the Customer to the Seller to conclude a Sales Agreement for the Goods included in the order.
  6. After the order has been placed, the Seller sends confirmation of acceptance of the order to the e-mail address provided by the Customer. The confirmation constitutes the Seller's acceptance of the offer referred to in §3 point 5, and the Sales Agreement is concluded when the Customer receives the confirmation.
  7. After conclusion of the Sales Agreement, the Seller confirms its terms to the Customer by sending them on a durable medium to the Customer's e-mail address or in writing to the address provided by the Customer during Registration or when placing the order.
  8. If the Customer chooses payment by bank transfer or payment card, the order processing time begins on the date the Seller's bank account or settlement account is credited.

§ 4 Delivery

  1. The Seller provides Delivery within Poland, European Union countries and selected countries worldwide.
  2. The Seller provides information on the Online Store Website regarding the number of Business Days required to dispatch an order.
  3. Ordered Goods are delivered to the Customer through a Delivery Provider to the address indicated in the order form or may be collected personally at the Seller's registered office.
  4. The Customer should inspect the delivered shipment in the manner customary for shipments of this type and, where possible, in the presence of the Delivery Provider's representative. In the event of loss or damage to the shipment, the Customer may request that an appropriate damage report be prepared.

§ 5 Payments

  1. The prices displayed next to the Goods on the Online Store Website are gross prices expressed in Polish zloty (PLN). The prices do not include Delivery costs or any other costs that the Customer may be required to pay in connection with the Sales Agreement. Such costs are presented to the Customer when selecting the Delivery method and placing the order.
  2. The Customer should make payment for the order within 5 business days if a prepayment method has been selected. The Customer may choose the following payment methods:
    1. Bank transfer to the Seller's bank account.
    2. Shoper Payments online payment system, including instant bank transfer, payment cards (Visa, Visa Electron, MasterCard, MasterCard Electronic, Maestro), BLIK, Google Pay and PayPo. Online payments by instant transfer and payment cards are processed by Autopay S.A.
    3. Przelewy24 and PayPal online payment systems.
    4. Cash on delivery.
    5. Cash or payment card for personal collection at the Seller's registered office.
  3. If the Customer fails to make payment within the period specified in §5 point 2, the Seller has the right to withdraw from the Sales Agreement.
  4. In the event that funds need to be refunded for a transaction made using a payment card, the Seller will make the refund to the bank account associated with the Customer's payment card.

§ 6 Complaints

  1. The Seller ensures that the Goods supplied are free from physical and legal defects. The Seller is liable to the Customer if the Goods have a physical or legal defect.
  2. If the Goods have a defect, the Seller may refuse to satisfy the Customer's request if bringing the defective Goods into conformity with the Sales Agreement in the manner chosen by the Customer is impossible or would require excessive costs compared with another possible method. The costs of replacement are borne by the Seller. The Customer may:
    1. submit a statement requesting a reduction in price or withdrawal from the Sales Agreement, unless the Seller promptly and without undue inconvenience to the Customer replaces the defective Goods with Goods free from defects. This limitation does not apply if the Goods have already been replaced by the Seller;
    2. request replacement of the defective Goods with Goods free from defects or removal of the defect. The Seller is obliged to replace the defective Goods or remove the defect within a reasonable time and without undue inconvenience to the Customer.
  3. For a Customer who is a Consumer, the cost of delivering the defective Goods to the Seller is borne by the Seller.
  4. The Seller is liable under statutory warranty provisions if a physical defect is discovered within two years from the date the Goods were delivered to the Customer.
  5. Complaints concerning the Goods or the performance of the Sales Agreement may be submitted electronically to: zamowienia@spoxsox.pl
  6. The Seller will respond to a complaint without undue delay and no later than 14 days from the date of receiving the complaint. The Customer may provide photographic documentation of the defective Goods, which may assist the Seller in processing the complaint.

 

§ 7 Withdrawal from the Sales Agreement

  1. A Customer who is a Consumer and has concluded a Sales Agreement may withdraw from it within 30 days without giving any reason.
  2. The withdrawal period begins when the Consumer takes possession of the Goods. The Customer may withdraw from the Sales Agreement by sending the Seller a statement of withdrawal. The statement may be sent by e-mail to zamowienia@spoxsox.pl. To meet the deadline, it is sufficient to send the statement before the deadline expires.
  3. In the event of withdrawal from the Sales Agreement, the agreement is considered not to have been concluded.
  4. If the Consumer submits a withdrawal statement before the Seller has accepted the Consumer's offer, the offer ceases to be binding.
  5. The Seller is obliged to refund all payments made by the Consumer, including the cost of Delivery, without undue delay and no later than 14 days from the date of receiving the Consumer's withdrawal statement.
  6. If the Consumer has chosen a Delivery method other than the cheapest standard Delivery method offered by the Seller, the Seller is not obliged to refund the additional costs incurred by the Consumer.
  7. The Consumer must return the Goods to the Seller without undue delay and no later than 14 days from the date on which the Consumer withdrew from the Sales Agreement. The deadline is met if the Goods are sent to the Seller before the expiry of this period.
  8. The Consumer withdrawing from the Agreement bears only the direct cost of returning the Goods to the Seller.
  9. The Seller refunds the value of the Goods together with the cost of the cheapest available Delivery using the same payment method used by the Consumer, unless the Consumer has expressly agreed to another refund method that does not incur any additional costs.

 

§ 8 Out-of-court complaint and dispute resolution

  1. Consumers have the possibility of using out-of-court methods of complaint handling and dispute resolution. – A Consumer may submit a request to initiate proceedings concerning out-of-court consumer dispute resolution regarding a concluded Sales Agreement to the Trade Inspection, in accordance with applicable Polish law. – A Consumer may also submit a request for a dispute concerning a concluded Sales Agreement to be considered by a permanent amicable consumer court operating at the appropriate regional Trade Inspection authority. – The European Commission previously provided an online platform for resolving consumer disputes (ODR).
  2. Detailed information concerning consumer dispute resolution and available out-of-court complaint procedures is available from the relevant Trade Inspection authorities and the Office of Competition and Consumer Protection (UOKiK).

 

§ 9 Final provisions

  1. These Terms & Conditions are effective from 25 May 2023.
  2. Customers' personal data are processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (GDPR) and other applicable data protection laws throughout the period during which the relevant data are processed.
  3. Customers will be informed about amendments to these Terms & Conditions through information published on the Online Store Website describing the changes.
  4. If any provision of these Terms & Conditions is inconsistent with applicable law, the relevant provisions of Polish law shall apply instead.
  5. Matters not regulated by these Terms & Conditions are governed by generally applicable Polish law, including the Civil Code, the Act on Providing Services by Electronic Means of 18 July 2002, the Consumer Rights Act of 30 May 2014 and other applicable provisions of law.

  1. The controller of the personal data provided to us is Spox Sox Sp. z o.o., with its registered office at ul. Piłsudskiego 7, 43-300 Bielsko-Biała, Poland, NIP: 9372708409, REGON: 369734414, e-mail address: hello@spoxsox.pl, which operates the www.spoxsox.pl online store.
  2. We take particular care to protect the interests of individuals whose personal data we process and ensure that the data collected by us is processed in accordance with applicable law.

Purpose and scope of data collection

  1. We collect your personal data from you when you place an order in the Online Store. Providing personal data when using the Online Store is voluntary, although it may be necessary to process an order or provide certain services.
  2. We use your personal data to process your order, inform you about the status of your delivery and contact you in the event of problems with the delivery of products. We also use your data to verify payments and process complaints.
  3. We process contact details such as your first and last name, address, e-mail address and telephone number, as well as information necessary to process your payment and order.
  4. No payment card numbers or bank account details are stored on our servers as part of the payment processing services provided by external payment operators.
  5. To protect your personal data, we use appropriate technical and organizational measures, including SSL encryption.
  6. Your personal data may be made available only to entities necessary to process and deliver your order, including postal and courier companies and payment service providers.
  7. We retain your personal data for as long as necessary for the purposes for which it is processed, including for the period required to fulfil legal, accounting and tax obligations.
  8. If you have consented to receive marketing communications by subscribing to our newsletter, we may use your e-mail address to send information about new collections, products and promotions. You can unsubscribe from marketing communications at any time by clicking the relevant link included in each marketing message.

Your rights

  1. Right of access – you may request information about which personal data we process about you.
  2. Right to rectification – you may request that inaccurate or incomplete personal data be corrected or completed.
  3. Right to erasure – you may request the deletion of your personal data where permitted by applicable law.
  4. Right to object to direct marketing – you may object to the processing of your personal data for direct marketing purposes at any time.

Cookies

  1. The Online Store uses cookies. A cookie is a small text file stored on your computer or mobile device and retrieved during subsequent visits. Cookies are used, among other things, to operate the shopping cart and maintain user sessions.
  2. Cookies may also be used to ensure the proper functioning of the Online Store and, depending on your consent and settings, to analyse website traffic and support marketing activities.
  3. You can manage or block cookies through your browser settings. Blocking certain cookies may affect the functionality of the Online Store.

Reviews in the Online Store

  1. Customers of the Online Store may voluntarily and free of charge submit reviews concerning purchases made in the Online Store. A review may include a rating, photograph or description of a purchased product.
  2. After a purchase, the Seller may send the Customer an e-mail requesting a review and containing a link to an online form. The form may allow the Customer to answer questions regarding the purchase, rate the purchase, add a description and upload a photograph of the purchased product. If no review is submitted after the first invitation, the Seller may send another invitation.
  3. A review may only be submitted by a Customer who has actually made a purchase in the Seller's Online Store.
  4. Customer reviews may be published by the Seller in the Online Store and on the TrustMate.io business profile.
  5. Reviews must not be used for unlawful activities, including unfair competition, infringement of personal rights, intellectual property rights or other rights of the Seller or third parties.
  6. A review may only concern products actually purchased in the Seller's Online Store. Creating fictitious or sham sales agreements for the purpose of submitting reviews is prohibited. The Seller and its employees may not submit reviews concerning the Seller's own products.
  7. A review may be deleted by its author at any time.
